Commercial Equipment Lease Agreement

1. Leased Equipment

Lessor agrees to lease to Lessee the following equipment ("Equipment"):

2. Lease Term

This Lease shall commence on ________________ ("Commencement Date") and shall continue for a period of ________________ months, unless earlier terminated in accordance with the provisions herein ("Lease Term").

3. Lease Payments

Lessee agrees to pay Lessor a monthly lease payment of $________________, due on the ____ day of each calendar month. Payments shall be made by:

• ACH / Bank Transfer
• Certified Check or Money Order
• Other method as agreed in writing

A late payment fee of $_______ or ____% of the overdue amount (whichever is greater) shall apply to payments received more than ___ days after the due date.

4. Security Deposit

Upon execution of this Agreement, Lessee shall pay a security deposit of $________________. The deposit shall be held by Lessor and returned to Lessee within 30 days of the end of the Lease Term, less any deductions for damages, unpaid fees, or other amounts owed by Lessee.

5. Permitted Use

Lessee shall use the Equipment solely for lawful commercial transportation purposes within the continental United States. Lessee shall not:

• Sublet, assign, or transfer the Equipment or this Agreement without prior written consent from Lessor
• Operate the Equipment in violation of any federal, state, or local law or regulation
• Use the Equipment for racing, off-road use, or any purpose for which it was not designed
• Remove, alter, or tamper with any identification numbers or safety equipment

6. Maintenance & Repairs

Lessee shall, at its own expense, maintain the Equipment in good working order and condition throughout the Lease Term, including:

• Routine preventive maintenance per manufacturer specifications
• Oil changes, fluid checks, and tire maintenance
• All required DOT inspections and compliance items
• Prompt repair of any damage or mechanical issues

Lessor shall be responsible for major structural repairs not caused by Lessee negligence, as determined at Lessor's sole discretion.

7. Insurance

Throughout the Lease Term, Lessee shall maintain and provide evidence of the following insurance coverages, with CSIQ Holdings LLC named as an additional insured:

• Commercial Auto Liability: minimum $1,000,000 per occurrence
• Physical Damage (Comprehensive & Collision): actual cash value of Equipment
• Cargo Insurance: as required by applicable law and carrier contracts
• General Liability: minimum $1,000,000 per occurrence

Lessee shall provide Lessor with certificates of insurance prior to taking possession of the Equipment and at each policy renewal.

8. Taxes, Licenses & Fees

Lessee shall be solely responsible for all taxes, licenses, registrations, permits, tolls, fuel costs, and any fines or penalties incurred during the Lease Term, unless otherwise specified in writing by Lessor.

9. Default & Termination

Lessor may terminate this Agreement immediately upon written notice if Lessee:

• Fails to make any lease payment within the grace period
• Allows required insurance to lapse
• Uses the Equipment in violation of any law or this Agreement
• Files for bankruptcy or becomes insolvent
• Abandons the Equipment

Upon termination, Lessee shall immediately return the Equipment to Lessor at the location specified by Lessor at Lessee's expense.

10. Return of Equipment

At the expiration or earlier termination of this Lease, Lessee shall return the Equipment to Lessor in the same condition as received, subject only to normal wear and tear. Lessee shall be responsible for the cost of repairing any damage beyond normal wear and tear as reasonably determined by Lessor.

11. Indemnification

Lessee shall indemnify, defend, and hold harmless CSIQ Holdings LLC and its officers, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of or resulting from Lessee's use, operation, or possession of the Equipment during the Lease Term.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes arising under this Agreement shall first be subject to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved in the courts of Washington County, Pennsylvania.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Equipment and supersedes all prior negotiations, representations, or agreements. This Agreement may only be modified by a written amendment signed by both parties.
